Reservation agreements and deposits when buying property in Cyprus

A reservation agreement in Cyprus is not a contract of sale and gives no claim against the property. Pay a deposit only after your own lawyer has read the refund clause and the conditions you need.

This page explains the general rules as published by the Cyprus authorities on the date shown. Rates, thresholds and procedures change, and your position depends on facts we do not know. Before you act, confirm the figures with the Tax Department or the Department of Lands and Surveys and take advice from a lawyer registered with the Cyprus Bar Association or a licensed accountant.

What a reservation agreement is, and what it is not#

A reservation agreement is a short document in which a seller agrees to take a property off the market for a set period while the buyer arranges checks, finance and the contract of sale. The buyer usually pays a reservation deposit in return. In Cyprus it often comes early in the process, and it is usually drafted by the seller, the developer or the agent.

It is not the contract of sale. The protection Cyprus law gives a buyer comes from a signed contract of sale deposited at the Department of Lands and Surveys (DLS): under the Sale of Immovable Property (Specific Performance) Law 81(I)/2011, the contract must be deposited within six months of signing for the buyer to be able to enforce it against the property.1 A reservation agreement is normally not drafted as a contract of sale, so a buyer holding only a reservation has a personal claim against the seller, not a claim registered against the land.

Whether a particular document is a reservation or something more binding depends on its wording. That is a question for your own lawyer, before you sign and before you pay. The full sequence from reservation to title deed is set out in how to buy property in Cyprus.

Refundable and non-refundable deposits#

No Cyprus statute we have found fixes the amount of a reservation deposit or says whether it must be refunded. Both are whatever the document says, which is why the wording matters more than the amount.

A deposit can be:

  • refundable: returned in full if the buyer withdraws for any reason, or if named conditions fail;
  • conditionally refundable: returned only if a listed condition fails, for example the title checks or a loan approval;
  • non-refundable: kept by the seller if the buyer does not proceed, whatever the reason.

The document should also say what happens to the deposit when the contract of sale is signed. Normally it is credited against the purchase price; if the agreement is silent, ask for that sentence to be added.

This page gives no typical deposit amount, because no official source publishes one.

Where the money should be held#

A deposit paid straight to the seller is hard to recover if the sale falls through, especially if the seller is a company or lives abroad. It is safer for the money to be held by a third party, such as a lawyer, under written terms that say when it is released and to whom.

Pay by bank transfer to an account named in the agreement, never in cash, and keep the confirmation. Confirm the account details by phone with your own lawyer before you send anything.

If an estate agent is involved, the Real Estate Agents Law 71(I)/2010 requires every licensed agent to show the words "licensed estate agent" with the registration and licence numbers on every document and advertisement.4 A reservation form from an agent that carries no licence number is a reason to stop and check the agent on the Real Estate Agents Registration Council's register.

Conditions to put in writing before you pay#

The point of reserving is to buy time for checks. The agreement should make the deposit returnable if those checks fail. Conditions buyers commonly ask for include:

  1. Title: The seller holds title, or the developer can show the land's title and the building permits, and there are no mortgages, charges or court orders the seller will not clear.
  2. Search certificate: For contracts concluded on or after 12 December 2023, the seller must make a DLS search certificate for the property part of the contract, dated not more than five working days from the date the contract is concluded.3 A reservation can make the deposit refundable if that certificate shows anything the buyer has not been told.
  3. Permission to buy: For a buyer who needs Council of Ministers permission under Cap. 109, the purchase depends on that permission.5
  4. Finance: If you need a loan, the reservation can be made conditional on a loan offer.
  5. Time limit: A date by which the contract of sale is signed, after which either side may walk away and the deposit is dealt with as agreed.

Costs that fall due later, such as transfer fees and VAT, are explained in costs of buying property in Cyprus.

What happens if the checks fail#

If a condition in the agreement fails and the deposit is refundable on that ground, the buyer asks for it back in writing, citing the clause. Where the money sits with a lawyer under written terms, release follows those terms. Where it was paid straight to the seller, recovery depends on the seller paying; if they do not, the remedy is a civil claim, which takes time and money.

If the checks pass, the next step is the contract of sale. Once signed, it should be deposited at the DLS, which charges €50.00 for the deposit and accepts it within six months of signing.2 Deposit is what protects the buyer's position until the title deed is transferred; Cyprus title deeds explained covers what follows.

Warning signs in reservation documents#

  • The document calls itself a reservation but contains a full purchase price, payment schedule and penalty clauses, so it may be a binding contract.
  • The deposit is described only as a "fee", with no reference to the purchase price.
  • There is no date by which the contract of sale must be signed.
  • The money is to be paid in cash, or to a personal account unconnected with the seller.
  • The agent's licence and registration numbers are missing from the document, although Law 71(I)/2010 requires them.4
  • You are told the property will be lost unless you pay the same day.

None of these proves a problem on its own, but each one is a reason to pause until your lawyer has read the document. The Cyprus property glossary explains the terms you are likely to meet.

Questions readers ask

Is a reservation agreement legally binding in Cyprus?#
It binds the parties to whatever it says, but it is normally not a contract of sale. Only a contract of sale deposited at the Department of Lands and Surveys within six months of signing gives the buyer specific-performance protection against the property.
Is a reservation deposit refundable?#
Only if the agreement says so. No statute we have found sets the amount or the refund rule, so read the refund clause and the conditions before you pay.
Who should hold the reservation deposit?#
A third party such as a lawyer, under written terms saying when the money is released and to whom, is safer than paying the seller directly. Pay by bank transfer, never in cash.
What should a reservation agreement include?#
The property, the period of reservation, the deposit and when it is refunded, conditions such as clear title and finance, a date for signing the contract of sale, and how the deposit is credited against the price.
